Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Qualityiris LLC, a Texas limited liability company with offices in Wylie, Texas, USA (“Qualityiris,” “we,” “us”), and the individual or entity (“Customer,” “you”) accessing or using QualityIris (the “Service”) at qualityiris.com.

1. Acceptance

By creating an account, starting a free trial, or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you accept on behalf of an organization, you represent that you have authority to bind it.

2. The Service

QualityIris is an end-to-end garment quality assurance platform. Features include Inline inspections with Corrective Action Plans (CAP), Final Audit (AQL) inspections, defect tracking with photographic evidence, measurement specification management, production progress tracking, digital signature capture, automated PDF reports, transactional email notifications, multi-role access (Admin, Manager, Inspector, Buyer, Factory), and Iris AI assistance for summaries, defect analysis, and draft comments.

3. Accounts & Trials

3.1 Accounts may be created by an authorized administrator of your organization or via a self-service sign-up that begins a 14-day free trial. No credit card is required for the trial.

3.2 You are responsible for credential confidentiality and all activity under your account. Passwords are checked against the “Have I Been Pwned” database; weak or breached passwords are rejected.

3.3 You agree to provide accurate information and to keep it current.

4. Subscription, Fees & Billing

4.1 Pricing. The Service is billed at USD $69 per Inspector seat per month, or USD $690 per Inspector seat per year (roughly 17% off monthly). Admin, Manager, Buyer, and Factory roles are included at no additional charge. Customer chooses monthly or annual at sign-up. Subscriptions renew automatically at the end of each billing period (monthly or annual) using the payment method on file, at the then-current per-seat price, until cancelled. Customer may cancel at any time from the in-app billing portal; access continues through the end of the paid period (see Section 5).

4.2 Trial. The 14-day free trial may be cancelled at any time before it ends without charge. At trial end, paid features require an active subscription. If billing is not added by trial end, the workspace becomes read-only — Customer can still view and export Customer Content, and resume full access by adding billing at any time.

4.3 Taxes. Fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, and similar taxes.

4.4 Late payment. We may suspend the Service for accounts more than 15 days past due after written notice.

4.5 AI Usage. Iris AI features (summaries, defect analysis, draft comments, Smart Import, barcode reference grading) are included in the per-Inspector seat fee. There is no per-seat AI cap, no credit meter, and no overage billing during the current pricing model. Qualityiris may apply fair-use rate limits to protect Service stability and reserves the right to introduce metered AI tiers on prior notice.

5. Refunds & Trial Terms

Subscription fees are generally non-refundable, in whole or in part, and we do not offer pro-rata refunds for partial periods, downgrades, or removed seats. As an exception, a tenant administrator may self-serve a full refund of the most recent paid invoice within 14 days of that invoice, once per subscription, from the in-app billing screen; the subscription is cancelled immediately on refund. Refund requests outside that window, or that otherwise fall outside the automated guardrails, are queued for manual review and responded to within one (1) business day. You may cancel at any time and your subscription will continue through the end of the paid period. Free trials are not charged.

6. Customer Content & Data

6.1 Ownership. You retain all rights in inspection data, photos, measurement specs, signatures, orders, and other content you submit to the Service (“Customer Content”). Qualityiris does not currently enforce a hard per-tenant storage cap; contractual caps may be introduced with at least 30 days’ prior notice.

6.2 License to operate. You grant Qualityiris a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Content solely to provide and improve the Service for you.

6.3 Aggregated data. We may use de-identified, aggregated data that cannot reasonably be linked to you for analytics, benchmarks, and product improvement.

7. Iris AI

7.1 Advisory only. Iris AI generates draft summaries, defect analyses, comment drafts, and similar outputs. Outputs are advisory and probabilistic; a qualified human inspector or manager must review them before relying on them for any quality, shipment, acceptance, or compliance decision.

7.2 Processing. Inputs you submit to AI features may be processed by sub-processor LLM providers listed in Section 9 under contractual confidentiality and data-protection terms.

7.3 No training without consent. Customer Content is not used to train third-party foundation models without your express opt-in.

7.4 Smart Import accuracy. Smart Import extracts order data from PDFs, spreadsheets, and photos using OCR and LLMs. Accuracy varies materially with source quality and is never 100%. Original spreadsheets (.xlsx / .csv) yield the highest accuracy; PDFs and photographed paper documents are lower. All extracted fields are advisory and must be reviewed by a human before acceptance into the Order Book.

8. Data Processing & GDPR Addendum

Under GDPR (and equivalent laws), Qualityiris acts in two distinct roles:

  • Processor — for personal data contained in Customer Content (e.g. inspector, factory representative, and buyer names, signatures, email recipients, and any personal data Customer chooses to record in inspection notes, photos, or order data). Customer is the controller and decides the purposes and means of processing.
  • Controller — for operational data Qualityiris collects to run, secure, bill, and improve the Service, including tenant administrator account details, billing contact information, authentication and audit logs, support correspondence, and product-analytics telemetry. Processing in this role is governed by our Privacy Policy.

The Data Processing Addendum (“DPA”) below is incorporated by reference and applies to the processor role, including for data subjects in the EU, EEA, UK, and Switzerland. A standalone, click-through DPA is published at /legal/dpa.

  • Scope & purpose: processing strictly to deliver the Service per these Terms.
  • International transfers: EU/UK Standard Contractual Clauses apply where required.
  • Security measures: encryption in transit (TLS) and at rest, row-level security (RLS) tenant isolation, least-privilege access, signed URLs for private storage, MFA for administrative access, periodic backups, and audit logging.
  • Sub-processors: see Section 9; we will notify you of material changes.
  • Breach notification: we will notify affected customers without undue delay and within 72 hours of confirming a personal-data breach affecting their data.
  • Data subject requests: we will reasonably assist you in responding to access, deletion, and rectification requests.
  • Return / deletion: on termination, Customer Content is soft-deleted immediately and retained for 90 days, during which Customer may request a full CSV/JSON export of inspection data, photos, measurement specs, orders, and signatures. After 90 days, data is hard-deleted from production systems, subject to backup retention cycles (up to 14 days). A standalone, click-through DPA is published at /legal/dpa and incorporated by reference.

9. Sub-processors

Qualityiris uses the following sub-processors to deliver the Service. We will provide notice of material changes via email or in-app announcement.

  • Supabase — managed Postgres database, authentication, object storage, and edge functions (AWS, US regions).
  • Resend — transactional email delivery.
  • Lovable AI Gateway, with downstream models from Google (Gemini) and OpenAI (GPT) — AI inference for Iris AI features.
  • Sentry — error monitoring and diagnostics.
  • PostHog — product analytics.
  • Stripe — subscription billing, checkout, customer portal, and tax calculation.
  • Cloudflare — Turnstile bot-protection challenge on sign-up (sees requesting IP and challenge token).

10. Service Level (SLA)

We target 99.5% monthly uptime for the production Service, excluding scheduled maintenance, force majeure, and issues caused by Customer Content, third-party networks, or sub-processor outages outside our reasonable control. For incidents lasting longer than one (1) hour we will provide status updates by email to designated administrators. Paying customers may request a service credit of up to 10% of the monthly fee per qualifying incident, capped at one month’s fees per calendar month, as the sole and exclusive remedy. No service credits accrue during a free trial.

11. Acceptable Use

You agree not to: (a) use the Service unlawfully or in violation of third-party rights; (b) upload malware or attempt to compromise the Service; (c) reverse engineer, scrape, or build a competing product from the Service; (d) circumvent usage limits or access controls; (e) submit content that is infringing, defamatory, or otherwise unlawful.

12. Intellectual Property

The Service, including its software, models, designs, trademarks, and documentation, is and remains the exclusive property of Qualityiris and its licensors. Customer Content remains yours. Feedback you provide is licensed to us on a non-exclusive, perpetual, royalty-free basis.

13. Confidentiality

Each party will protect the other’s non-public business information disclosed in connection with the Service using at least the same care it uses for its own confidential information, and will use it solely to perform under these Terms.

14. Term & Termination

14.1 These Terms apply from first access until terminated. Either party may terminate for material breach uncured for 30 days after written notice. We may suspend or terminate immediately for security, legal, or non-payment reasons.

14.2 Effect. On termination, your access ends. You may request export of Customer Content for 90 days after termination; after that, we delete it as described in Section 8.

15. Electronic Signatures

Signatures captured in the Service (inspector, manager, factory, buyer) are designed to qualify as a Simple Electronic Signature under the US ESIGN Act (15 U.S.C. §7001 et seq.) and eIDAS Regulation Article 25(1). The Service captures signer identity, timestamp, IP address, and signed payload, and binds each signature to the underlying inspection record. The Service does not currently provide Advanced or Qualified electronic signatures, third-party legal opinion letters, device-fingerprint capture, or a cryptographic hash chain. Customer is solely responsible for assessing whether the Simple Electronic Signature tier is fit for its contractual workflows and regulatory environment.

16. Reference Tools & Limits

Certain features produce reference indicators only and must not be used as sole evidence in commercial disputes, contractual rejection, or chargeback proceedings:

  • Barcode grading in Final Audit is an internal readability indicator and is not a certified ISO/IEC 15416 / 15426 verification. Use a calibrated third-party verifier where contractual proof is required.
  • Iris AI defect analysis, summaries, and drafts are probabilistic and must be reviewed by a qualified inspector or manager before any acceptance decision.
  • Smart Import is governed by Section 7.4.

17. Disclaimers

The service is provided “as is” and “as available.” To the maximum extent permitted by law, qualityiris disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Iris AI outputs are not warranted to be accurate, complete, or fit for any quality-acceptance decision.

18. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Each party’s total aggregate liability arising out of or related to these terms will not exceed the fees paid by customer to qualityiris in the twelve (12) months preceding the event giving rise to the claim.

19. Indemnification

You will defend, indemnify, and hold harmless Qualityiris and its officers, employees, and contractors from third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of applicable law.

20. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state and federal courts located in Collin County, Texas, and the parties consent to personal jurisdiction there.

21. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide at least 30 days’ notice via the Service or by email. Continued use after the effective date constitutes acceptance.
